These Terms of Use (the “Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“You” or “your”) and WriterAccess, Inc., or any other Rock Content company (“Rock Content”). 

These Terms and policies referenced herein govern your use of the AI Copilot (“Copilot”) website located at http://aicopilot.rockcontent.com (the “Site”) and Copilot’s custom AI-generated content (“Services”).

If you do not agree with (or cannot comply with) these Terms, then you may not use the Services. These Terms apply to all visitors, users and others who wish to access or use Services.

Any new features or tools which are added to the current website shall also be subject to the Terms of Use. You can review the most current version of the Terms of Use at any time on this page. Rock Content reserves the right to update, change or replace any part of these Terms of Use by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Site and Services following the posting of any changes constitutes acceptance of those changes.

1. The AI Copilot . The AI Copilot is an Artificial Intelligence tool for generating content. To generate custom AI-generated content, You will need to place a Content Order, where you will detail all the necessary information to generate the content (“Content Order”). The content is generated based on the information filled in by You, such as the company website, business summary, keywords, and other information relevant to content creation (“Generated Content”). Rock Content is not responsible for your inputs used to generate the AI content, nor for the company website filled by you. The business definition results, as tone of voice and pain points, are suggested based on public information available on the company website and can be further edited by You before placing the content order.

2. Who May Use the Services. You may use the Services only if you are 18 years or older and capable of forming a binding contract, and not otherwise barred from using the Services under applicable law. For certain features of the Services You will need an account. It is important that You provide us with accurate, complete and current account information and keep this information up to date. If You don’t, Rock Content might have to suspend or terminate your account. To protect your account, keep the account details and password confidential, and notify Rock Content right away of any unauthorized use. You are responsible for all activities that occur under your account. We appreciate feedback, comments, ideas, proposals and suggestions for improvements to the Services (“Feedback”). If You choose to submit Feedback, You agree that we are free to use it without any restriction or compensation to You.

3. Plans. AI Copilot has three (3) plans (“Plans” or “Plan”), the Pay as you go plan and two Subscriptions, as described below:
   
   

(a) Pay as you go. If You opt for this plan, you will have no long-term commitments, and You will have one (1) content order to be used for one (1) custom AI-generated content of up to three thousand (3,000) words. 

(b) Basic Subscription. If You opt for this plan, You will be purchasing a monthly recurring plan, where You will be entitled to up to 5 content orders per month, considering that each content order is used for one (1) custom AI-generated content, of up to 3,000 words. Unused content will expire and will not roll over to the next month. If you need to purchase additional content orders, you will immediately be charged a $3.99 fee for each additional content order.

(c) Scale Subscription. This plan is aimed at those who do not fit into other plans. If You opt for this plan, You will be directed to the Rock Content team, who will send You a personalized proposal for a monthly recurring plan.

4. Payment terms. AI Copilot requires payment of a fee for use of the Services (or certain portions thereof) and You agree to pay such fees.

(a) Pay as you go Fee. If You purchase the Pay as you go plan, You will make a single payment to access one (1) content order and content generation. You will only be able to use AI Copilot features after payment.

(b) Subscription Fee. If You purchase a Basic or Scale Subscription (“Subscription”), Rock Content (or Rock Content’s third-party payment processor) will automatically charge You a monthly Subscription fee, plus any applicable taxes, and other charges (“Subscription Fee”), at the beginning of your Subscription and each month thereafter, at the then-current Subscription Fee. Your Subscription continues until canceled by You, or Rock Content terminates your access to or use of the Services or Subscription in accordance with these Terms.

(c) Payment Information and Policies. Rock Content may ask You to supply additional information relevant to your Plan, including your credit card number, the expiration date of your credit card and your email and postal addresses for billing and notification (such information, “Payment Information”). You represent and warrant that You have the legal right to use all payment method(s) represented by any such Payment Information. When You initiate a Plan, You authorize us to provide your Payment Information to third parties, so we can complete the transaction related to your Plan and to charge your payment method for the type of Plan you have selected (plus any applicable taxes and other charges). By initiating a Plan, You agree to the pricing, payment and billing policies applicable to such fees and charges, as posted or otherwise communicated to You. All payments for Plan are non-refundable and non-transferable, except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars.

(d) Fee Changes. Rock Content, in its sole discretion and at any time, may modify Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle, that is, the next month’s charge, considering the monthly recurring Subscription. Your continued use of Services after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

(e) Free Trial. Rock Content may offer a free trial basis (“Free Trial”), that includes one (1) content order to be used for one (1) custom AI-generated content, of up to 3,000 words, considering that certain Services limitations may exist. During the Free Trial, Rock Content does not request any credit card or payment details. After the Free Trial, You may choose one of the available plans or Subscription to have more content orders. Free Trials are only available to users who have not previously held a paid Subscription. At any time and without notice, Rock Content reserves the right to (i) modify Free Trial offer, or (ii) cancel such Free Trial offer.

5. Canceling Your Subscription.
   

(a) If You purchase one of the Subscription Plans, you will be purchasing a monthly recurring plan, it means that your Subscription will be renewed and charged month-by-month. You may terminate your Subscription at any time by notifying Rock Content in writing, via chat available on the Site or by email at [email protected], within 3 business days before the renewal date of your Subscription. By requesting cancellation, You will have access to AI Copilot during the period already paid for, after this period You will lose your access.

(b) If in Rock Content’s sole judgment You fail, or we suspect that You have failed, to comply with any term or provision of these Terms, Rock Content may cancel your Subscription at any time without notice, and You will remain liable for all amounts due up to and including the date of termination. Rock Content may also, at any time, interrupt your access to AI Copilot or cancel your Subscription if payment is not identified.

6. Your Content.

(a) Posting Content. Our Services may allow you to store or share text content. Anything (other than Feedback) that you post or otherwise make available through the Services is referred to as “Generated Content.”

(b) Your Use of Generated Content. Subject to your compliance with these Terms, Rock Content hereby grants You a non-exclusive, worldwide, license, with the right to sublicense, to use, copy, modify, sell, create derivative works based upon, distribute, publicly display, and publicly perform the Generated Content for your lawful business purposes.

(c) Backup. You will have access to all your content generated in AI Copilot and will be able to download them all. You will be solely responsible for backing up your content. Rock Content is not responsible for making backups of the contents, nor guaranteeing access after the end of your Plan.

7. Usage Requirements. You agree that You will use the Services:

• Only in a lawful manner and in compliance with all applicable laws;
• In accordance with the Terms, the license granted in these Terms, and any documentation, usage guidelines, parameters, and other requirements provided to You by Rock Content;
• In a manner that does not infringe, misappropriate, or otherwise violate any of Rock Content’s rights or those of any other person or entity;
• In a manner that does not violate these Terms, any agreement between You and anyone else or our or a third party’s rights.

8. Warranty Disclaimers. The services are provided “as is,” without warranty of any kind. Rock Content makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Rock Content makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any information or content on the Services. It may happen that the AI Copilot generates similar content, especially when the user is using the same domain as another user. During AI Copilot tests, no identical content was generated, however, as it is an AI tool, Rock Content does not guarantee that this will not occur. You acknowledge sole responsibility for verifying that generated content is the same or similar to other content, and assume all risks arising from failure to verify.

9. Indemnity. You will indemnify and hold Rock Content (and its affiliates) from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the Services, (b) your Generated Content, (c) your violation of these Terms, or (d) your actual or alleged infringement, misappropriation, or violation of Rock Content’s or any third party’s intellectual property or proprietary rights.

10. Limitation of Liability. In no event shall Rock Content’s total liability, arising out of or related to these Terms, exceed the amount paid by You for the Services to which the claim relates during the immediately preceding twelve (12) months or a hundred dollars (USD $100), whichever is greater. The foregoing limit shall not apply to your payment obligations. In no event shall Rock Content has any liability to You for any lost profits or revenues or for any indirect, special, incidental, consequential, cover or punitive damages however caused, whether in contract, tort or under any other theory of liability, and whether or not You have been advised of the possibility of such damages. The foregoing disclaimer shall apply to the extent prohibited by Applicable Law.

11. Governing Law and Dispute Resolution. These Terms are governed by the Delaware, United States law. Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, shall be determined by confidential and binding arbitration before a single arbitrator. The parties agree to keep all disputes arising under this Agreement confidential, except as necessary in connection with a judicial challenge to or enforcement of an award or unless otherwise required by law or judicial decision. The arbitrator may issue orders to treat any information regarding such proceedings, including the award, as Confidential Information under this Agreement. The prevailing Party in any action arising from or relating to this Agreement shall be entitled to recover its reasonable attorneys’ fees and costs including, without limitation, arbitration fees and fees of experts. The language to be used in the arbitral proceedings shall be English, and the arbitration shall be administered by Judicial Arbitration and Mediation Services, Inc. (JAMS), pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules.

12. General Terms.
    
    

(a) Reservation of Rights. Rock Content exclusively owns all right, title and interest in and to the Services, including all associated intellectual property rights. You acknowledge that the Services are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services.

(b) Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between Rock Content and You in regard to the Services, and these Terms supersede and replace all prior oral or written understandings or agreements between Rock Content and You in regard to the Services. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without Rock Content’s prior written consent. Any attempt by You to assign or transfer these Terms, without such consent, will be null. Rock Content may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

(c) Notices. Any notices or other communications provided by Rock Content under these Terms will be given via email ([email protected]). For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

(d) Waiver of Rights. Rock Content’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

(e) Privacy Policy. Rock Content’s use of cookies and personal data is described in the Privacy Policy (https://rockcontent.com/legal/privacy-policy/).

(f) Your responsibility. You represent and warrant that neither your content nor your use and provision of your Content to be made available through the AI Copilot, will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. You agree not to post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances.
